Cognizo provides a software-as-a-service (SaaS) platform accessible via cognizo.ai that enables businesses to monitor, analyze, and optimize their brand presence across artificial intelligence (AI) platforms.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract under applicable law to use the Service.

3. Account Registration

To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and all activities that occur under your account.

4. Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations.
• Reverse engineer, decompile, or otherwise attempt to extract the Service's source code.
• Use the Service to harm, exploit, or impersonate any individual or entity.

5. Subscription and Fees

• Subscription Plans: Cognizo offers various subscription plans. Details of pricing and features are provided at cognizo.ai.
• Billing: Subscriptions are billed in advance and are non-refundable unless otherwise specified in these Terms or required by law.
• Changes: Cognizo may change subscription fees with prior notice. Continued use of the Service after such changes constitutes your acceptance of the revised fees.

6. Intellectual Property

All content, trademarks, and proprietary materials on the Service, including the software and underlying technology, are owned by Tendro, Inc. or its licensors. You may not reproduce, distribute, or create derivative works without explicit permission.

7. User Content

You may submit content to the Service (e.g., brand data, competitive analysis information). By doing so, you grant Cognizo a non-exclusive, worldwide, royalty-free license to use your content solely to provide and improve the Service.

8. Confidentiality

Cognizo will use reasonable efforts to protect confidential information submitted through the Service. However, you acknowledge that data transmission over the internet is not completely secure, and we cannot guarantee the security of your content.

9. Privacy Policy

Your use of the Service is subject to our Privacy Policy.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available." Cognizo disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, Cognizo will not be liable for indirect, incidental, or consequential damages arising from your use of the Service. Our total liability for any claim related to the Service will not exceed the amount paid by you to use the Service in the 12 months preceding the claim.

You agree to indemnify and hold harmless Tendro, Inc., its affiliates, officers, and employees from claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

Cognizo reserves the right to suspend or terminate your access to the Service at any time for any reason, including violation of these Terms.

14. Changes to the Terms

We may modify these Terms from time to time. Changes will be effective immediately upon posting to cognizo.ai. Your continued use of the Service constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

16. Dispute Resolution

Any disputes arising from these Terms or the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
